I guess this is a way to perhaps shore up political points locally in sf. to protect himself as best as he can. washington is a country wide, global game. kinda reminds me of another rebranding. im just jenny from the block. https://lnkd.in/e_jNXXRD if ai companies are to flourish OpenAI Google Microsoft Amazon Apple will require that startups are not somehow impeded. this is a game of davids and goliaths. where the slingshot appears innocuous. that is llms, transformers, access to privileged data. this out of no-where announcement demonstrates that this is a defense tactic by sama. he speaks fondly of sf and has done nothing until now. so his disingenuous nature finds yet another loop hole to worm into. we would be more supportive of his efforts except he’s created an industry for himself through a con game approach. why is he ceo of OpenAI when he’s there 6-7 hours a week. forgive me. isn’t a ceo supposed to be singularly focussed. his game is getting funding that invests in companies that he’s already invested in and as it’s a non for profit there are no conflicts of interest applied. wow. he uses other peoples money to invest in what he’s already invested in. sounds like y combinator showed him how to play the sv players. the next trick will be to do something no one has ever done. take a multi-billy non for profit and flip to for profit. as a non for profit there is no reporting required. there are tax incentives. a moral narrative to spin. then. oooops. how do we monetize this. we believe he will not succeed. to do so would cannibalize capitalism as it’s structured. it also would create a new pathway for universities which are by definition research centres. creating this precedent would alter their business. given that elon has beef with sama. and elon has never been more on top of his game. well. we find local political maneuvering is a way of squirming. I’m thrilled to be announcing that Notion Capital is leading the $15m Series A investment in Cogna today. In the industry, we like to think that software has been eating the world. But when you look at the data a better description would be more of a nibble. Depending on what source you look at the software industry represents between 5-8% of global GDP. Contrast that with the services industry that represents between 60-70% of GDP and worth around $25 trillion on a global basis. Most services have been out of reach for the software industry. They have either been too complex or too specialized for off the shelf software to access in any economically viable way. It was a real honor to interview Brad Burnham co-founder of Union Square Ventures and partner Placeholder on the history of hype cycles in technology and the value they bring to capital and market formation. Brad has had tremendous success across decades investing at the frontier - when it was the frontier/ before it was obvious. Crypto is still the underdog and his views on the opportunity and its nuances are prescient. Specifically it is both a technical and financial innovation which can lead to excess volatility and a unique muscle as it relates to being a venture manager. But the returns are real. And the innovation is real despite some of the the common narratives. No one debates the breakthrough applications in AI at M13 we have been very active. It is also very clear that incumbents have massive data and distribution advantages which can make it challenging to find the right pockets to invest. AI is on its own hype cycle and as always the best teams (typically with contrarian takes) win. Very exciting times to be a venture investor.

Team San Diego! I though you may find this as surprising as I did...we are not alone. Read this quick article from Jon Prentice's (Silicon Valley Bank) interview with with James Newell (Voyager Capital), published in GeekWire on Seattle's innovation ecosystem....they lament the SAME issues as we do in San Diego: * Lack of angel investors, (Especially, it calls out, given the local giant tech co's) * "We need low-conviction check writers." * Lack of "cachet associated with being an angel investor" - We have similar efforts (as described in the article) to drum up angel activity: NuFund Venture Group and, Interlock Capital (read the article and you'll see why the Interlock effort is tops as relates to "paying back into the ecosystem") Connect.org strives to 'connect' innovative companies with investors of all types (angel, VC, PE...) - just see "Innovation Day". As we’ve begun building Oversubscribed Ventures, we’ve learned that the world of venture capital is way too mysterious and insular. We wanted to crack it wide open and make it accessible to everyone. So, we launched a new podcast, with Phil Schwarz. Some of you may already listen to our World’s First Podcast (and if you do, thank you!). The Oversubscribed Podcast takes a lot of what makes World’s First Podcast great and focuses on the business world. This is a business podcast for anyone and everyone who is curious about stories of success, failure, recovering from rejection, pivoting, and more. I just wrapped up a panel with the Marketing Leadership affinity group within the How Women Invest community with my hero Auntie Nancy Hayes, aka the Yoda of board membership, angel investing, and general badassery. We talked about different ways to serve on boards, a role in which experienced Marketers seem to be often underrepresented. Why? If I had to guess, I'd say: 1 - Most heads of marketing are women 2 - marketing is undervalued, especially under sales/revenue experience 3—Compound the first two with the messages you tell yourself about your own worthiness, and suddenly, you're a great marketer for everyone else but yourself. ___________ For those who are interested in getting closer or into the board room, there are so many ways to start/get experience: 1—Board Observer (one of my current board roles)—you represent the investor but have no votes. It is unpaid, but/and hugely essential to act as a bridge of visibility and communication between the fund you've invested with and the company in which the fund has invested. My role brings value to both sides with much less bias than the other VC board seats. 2—Corporate board director—There is much governance but not much influence on the product, as the company usually has big enough teams for that. There is a lot of hiring/firing CEOs (read: drama), which can still be fun, especially for those fresh-popcorn-in-my-bag swag kinda folks (both grossly generalizing and way understating this role's fiduciary importance, but you get the idea). 3—Independent board director—this is another of my favorite places to sit. It is much like the Board observer role but with voting rights and equity (although not always, as these terms are negotiated and influenced by the shareholding board seats). You are NOT representing a VC fund (typically), but you might have subject matter expertise in the product or are a generalist boss gal like myself and bring a sense of neutrality and balance to the board. 4—Advisor. Advisors are similar to IBD in terms of influence and type of advice but are not part of the board or its meetings. This role is usually paid in some combination of equity and cash. It's another of my faves. (Are you seeing the trend here?) We have not even touched non-profit boards (where I got my start and am currently sitting on my sixth), but we will save it for next time as it's a whole 'nother Oprah. I have invested in some consumer electronics hardware startups for over a decade, and have seen some fail and some succeed. Consumer hardware is HARD. Consumers expect close to perfect products that at least promise to do many things for them, product price can typically only go down from launch day onwards, and there are so many balls to juggle simultaneously in taking product through launch + shipping. Biggest mistake is often this: perfect is the enemy of good. Steve Jobs may have said consumers don't know what they want, but you are no Steve Jobs - so get real consumer feedback as early as possible vs building in stealth forever. Lastly, plan ahead for next 2-3 rounds of financing. Money will be hardest to get when you need it most, and quality of investors drops sharply because there are few exit paths half-way through. This is something most executives who come from large consumer electronics companies and may have great experience in product design, engineering, supply chain management, manufacturing, logistics, pricing, distribution channels, marketing etc, don't know enough about.

At IDEO I spent countless hours agonizing over the smallest detail of a brand new product. Now as a VC, I push founders to zoom out to see both the forest AND the trees. Or to build upon last week’s introduction to the concept, the whole damn iceberg… :-) Picture an iceberg: At the top of the iceberg, we are presented with events. The incidents we encounter from day to day—the hurly-burly of life. Patterns live just below the surface. These are the accumulated habits or behavioral “memories” that result from repeated, unconsidered reactions to events. Structures are how the components of the system are organized. These structures underpin the patterns and events that confront us. Values are the vision we have for our future—what we aspire to and the basis for our mental models. So what’s the point? As an illustration, let me share a recent story from Foundation Capital. Six weeks ago during our investment team offsite, one of my partners conveyed a concern that since coming back to a more in-person culture, we just weren’t on our A-game in one of our new investment pitch meetings. The conversation quickly jumped to specific 𝗲𝘃𝗲𝗻𝘁𝘀 (above the water line): a couple members of the team were on their phones during the presentation, one person stepped out to go to the restroom, someone else just seemed low energy. And while we didn’t all agree on which specific behaviors were the most troubling, we were all able to agree that there was a 𝗽𝗮𝘁𝘁𝗲𝗿𝗻 of inattentiveness that wasn’t consonant with our values. And specifically the value of respect we all have for the entrepreneur’s journey. So we came up with a few guidelines—𝘀𝘁𝗿𝘂𝗰𝘁𝘂𝗿𝗲𝘀 really—for our meetings: no smartphones or open laptops between you and the entrepreneur, we asked our administrative partner to take notes for all of us, and we even flipped our Monday schedule around to invite presenting companies in during the morning when our team was at its best. And no surprise, when we aligned around our core values, we started having way better, more engaged meetings. This same approach can be applied to so many design challenges, where our first instinct is to react to events. To blame and judge. To throw design resources at symptoms. When instead we need to tune into root causes and system failures.

I recently sat down with a group of Forum Ventures founders about to go out to fundraise and the topic of SAFE rounds came up. The context focused on the pros/cons of raising a priced vs a SAFE round and the conversation notably shifted toward the dilution implications of a SAFE round. Founders are keenly aware of the top line dilution of any funding round - ie selling 20% of their startup for $3M at a $15M cap - but very few fully grasp the implications of doing a SAFE round vs a priced round. The universal standard for institutional VC investors is a post money SAFE. This document essentially outlines ownership that an investor will have in a startup just prior to the execution of a priced round. Most importantly though, it is structured so that an investor in that SAFE will not be diluted by subsequent SAFE's that are issued. This is where founder education around the implications of this structure are not fully appreciated. In a situation where a founder continues to stack subsequent SAFEs, they don't actually convert until the first priced round and the net dilution they are taking is actually more than they realize. Here is a practical example - take a situation where a founder has already sold 15% of their business on a post money SAFE in a pre-seed round, and is now choosing to sell another 20% in a seed round. If the founder opts to raise this money on SAFEs, the dilution of that additional 20% will come entirely from common equity holders- meaning they will now own 65%. If SAFE holders were also diluted by that round, as they would be in a priced round, the founder would own 68%. This dynamic becomes more dramatic the more capital a founder raises on SAFEs. Note - this is a high level example and does not include an option pool carve out or other round nuances. Almost universally, when a founder raises their first priced round, there is some degree of sticker shock at the outright dilution on their cap table, particularly when options pools are factored in. This pain is even more acute when a founder has raised a fair amount of capital on SAFEs along the way. There are certainly benefits to raising SAFE round, mainly cash in hand 6-8 weeks faster and not having to decide on board seats too early, but I encourage all of our founders to run through cap table modeling and correctly account for the implications of SAFE rounds before they make fundraising decisions.

I’m so excited to announce the new name of the vetted community for startup founders I'm building: Village Lane Village Lane connects ambitious early-stage startup founders, both in-person and online, who have at least $100k in ARR or $250k in funding. The name Village Lane is deeply personal to me... It's the street I lived on after business school, in an apartment with my friend Andrew - the kindest, most welcoming, supportive person I’ve ever met, who sadly passed away suddenly a few weeks ago at only 31 years old.
